JSPL’s corporate governance philosophy is derived from its values and ethical conduct. We believe that corporate governance and ethics are overlapping aspects and cannot be seen in isolation. The Group Code of Conduct (CoC) details the model code, which governs our operating principles as employees, managers and business associates. In the last two years especially, JSPL has made significant progress in the direction of putting in place well defined decision making structures. The highest governing body responsible for framing and implementation of corporate governance policies is our Board of Directors (‘Board’), which has constituted six committees that meet regularly.

In order to complement corporate governance at a functional level, we have an integrated Strategic and Operational Governance structure. The former is built around a high-level Group Executive Committee (GEC), a Core Management Team (CMT) and a Senior Management Committee (SMC), each with individual and collective roles and responsibilities. The Operational Governance structure incorporates high level Management Committees (MANCO) for each business segment and Unit Committees (UNICO) at each location. Meetings and deliberations at these levels ensure timely and appropriate decision-making and help drive collective change in an efficient and effective manner.
